Software development, licence, support and maintenance agreement (premium)
This is a full-length software development, licence, support and maintenance agreement template under which the software is licensed to the customer.
Although the software (or at least, some elements of the software) developed under this agreement will be developed for a particular customer, that customer does not own the copyright and other intellectual property rights in the software. Those rights stay in the hands of the developer. Instead, the customer is granted a licence to use the software.
The agreement includes clauses covering the provision of set up and integration services by the developer. It provides for customer acceptance testing and for the ongoing support and maintenance of the software by the developer (including helpdesk services, bug-fixing, standard upgrades and functionality enhancements).
Optional provisions covering the licensing of source code, or the placing of source code into escrow, are also included.
