Software development agreement (standard)

This is a standard-form software development agreement. It is designed to regulate the development of software by a developer and its supply to a customer. The agreement provides for an assignment of the copyright (and other intellectual property rights) in the software to the customer.

This agreement is a longer version of our basic software development agreement. In addition to the provisions in that document, it includes clauses covering post-development set-up services, a procedure for the formal acceptance of the software, the payment of expenses to the developer, the production of timesheets by developer staff, confidentiality obligations on one or both parties and indemnity protection for one or both parties.
