Free API terms and conditions

These free API terms and conditions establish the basis upon which a services provider makes available an application programming interface (API) to customers.

The key aspects of the free API T&Cs are as follows.

Term - The term of the contract may either be indefinite (with termination on notice) or rolling (with termination at fixed points on notice).

API services - The provider grants the customer a right to use the API, subject to appropriate limitations and prohibitions. The provider may commit to ensuring a level of availability via the optional availability service level agreement (SLA) included with these free API terms.

Support services - The provider may also undertake to support the use of the API and issues encountered by the customer. Again, the free API T&Cs come with an optional support SLA for those situations where you need to define the scope of support obligations in detail.

Customer data - A sophisticated licensing clause included in this template can be used to tailor the provider's right to use customer-supplied data. At a minimum, the data may be used to provide the services. But the provider might also want to anonymise the data for use elsewhere in the provider's business or to use the data for machine learning-related purposes.

Charges and payments - Flexible provisions relating to the specification of charges and the payment of those charges are included in the free API terms and conditions.

Other clauses - Other provisions cover confidentiality, data protection issues, warranties, limitations of liabilities, rights of termination, subcontracting and contract interpretation.
