Software development, support and maintenance agreement (basic)

This is our basic software development, support and maintenance agreement. Although is is shorter than the other documents in this family, it is still not especially short, because it covers quite a lot of ground.

As well we providing for the assignment of rights in software and for the provision of support and maintenance services, this agreement sets out the basis upon which the software will be developed. You will, of course, need to add an appropriate specification for the software. The developer commits to meeting that specification, subject to certain exceptions set out in the agreement.

This is an shorter version of our standard software development, support and maintenance agreement. The standard version contains extra provisions covering set up services, UAT, confidential information, timesheets and expenses.
